Member Terms & Agreement
1. Purpose of the 808 Club
The 808 Club ("the Club") is a private networking and development organization designed to foster growth, accountability, and meaningful business connections among members. Participation in the Club is voluntary and based on mutual respect, integrity, and professionalism.
2. Legal Entity & Organizer Definition
The 808 Club operates as a registered corporation under the laws of Ontario, Canada.
For the purposes of this Agreement, "Organizer" includes the Club, its directors, officers, hosts, affiliates, and any authorized representatives acting on its behalf.
No individual Organizer shall bear personal liability for any actions taken in the operation of the Club.
3. Voluntary Participation & Assumption of Risk
By joining the 808 Club, the Member acknowledges and agrees that:
- Participation in any meetings, events, or activities (in-person or virtual) is entirely voluntary.
- The Club and its Organizers are not responsible for any personal, professional, financial, or repetitional outcomes resulting from participation or interactions with other members.
- Members join and engage at their own discretion and risk.
4. Membership Fees
- Membership fees (if applicable) are outlined separately and are non-refundable, except as required by law.
- Continued participation constitutes acceptance of any updates to membership pricing or terms provided in writing by the Organizer.
5. Code of Conduct
Members agree to:
- Conduct themselves with respect, integrity, and professionalism in all 808 Club spaces (online and in person).
- Avoid harassment, discrimination, or disrespectful behaviour of any kind.
- Keep the group focused on collaboration and connection — not competition, gossip, or conflict.
- Maintain confidentiality regarding any personal or sensitive information shared by other members.
Violations of this Code may result in immediate suspension or termination of membership at the Organizer’s discretion.
6. Disputes Between Members
- Any disputes, disagreements, or conflicts between members are strictly personal matters and must be handled outside of the 808 Club environment.
- The Organizer and facilitators will not mediate or involve themselves in such disputes.
- Members agree not to bring personal, professional, or legal issues into meetings or group spaces.
7. Event Participation & Safety
- Members are responsible for their own safety, conduct, and personal property when attending Club events or gatherings.
- The Club does not provide insurance coverage for members or guests and accepts no responsibility for loss, theft, injury, or damage incurred during events.
8. Limitation of Liability
The Member agrees that:
- The 808 Club, its Organizer, hosts, affiliates, and representatives shall not be liable for any damages, losses, or claims arising from participation in the Club or reliance on information, advice, or connections made through it.
- This includes but is not limited to financial loss, repetitional harm, emotional distress, or business outcomes.
- Participation is strictly "at your own risk."
9. Waiver & Indemnity
The Member hereby releases, waives, and forever discharges the 808 Club, its Organizers, and affiliates from any and all claims, demands, or causes of action arising from participation in any Club activities.
The Member further agrees to indemnify and hold harmless the 808 Club, its Organizers, and affiliates against any claims, damages, or expenses resulting from their own actions, conduct, or participation.
10. Term & Termination
- Membership continues on an ongoing basis unless terminated by either party.
- The Organizer reserves the right to revoke or suspend membership at any time if a Member’s behaviour violates this Agreement or negatively impacts the Club environment.
- No refunds or compensation will be issued in such cases.
11. Governing Law & Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein.
Any disputes arising under this Agreement shall be resolved exclusively in the courts of Barrie, Ontario, Canada.
12. No Waiver
Failure by the Organizer to enforce any provision of this Agreement shall not constitute a waiver of its right to do so in the future.
13. Entire Agreement
This Agreement constitutes the entire understanding between the Member and the 808 Club and supersedes any prior agreements, understandings, or communications regarding membership or participation.
14. Agreement & Signature
By signing below, the Member acknowledges that they have read, understood, and agreed to the terms of this Membership Agreement and choose to participate in the 808 Club voluntarily.
